These Terms & Conditions (“Terms”) constitute a legally binding agreement between you and Numera and govern your access to and use of the Numera website and mobile application (collectively, the “Platform”), including all products, software, analytics tools, content, and services offered through the Platform (collectively, the “Services”).

By accessing or using the Platform or Services, you expressly consent to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue access to and use of the Platform and Services.

  1. Definitions & Applicability
    1. Numera”, “We”, “Us”, “Our”, or “Company” refers to Tiny Epic Solutions Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at: HD-280, WeWork NESCO IT Park, 10th Floor, Building 4, NESCO IT Park, Western Express Highway, Goregaon (East), Mumbai – 400063, registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013, bearing Registration Number: INA000021702, Certificate No. 1221, valid from 27 January 2026 until suspended or cancelled in accordance with applicable regulations. “User”
    2. “You”, “Your” refer to any person accessing or using the Platform. “Platform” refers collectively to Numera’s website and mobile applications on Android and iOS platforms.
    3. These Terms apply to and are binding upon all Users who access, browse, register on, or use the Platform or Services in any manner, whether as a guest or registered user.
  2. Legal Status of these Terms & Conditions
    1. These Terms constitute an electronic record within the meaning of the Information Technology Act, 2000, and the rules framed thereunder, as amended from time to time, and do not require any physical, electronic, or digital signature.
    2. Your access to, browsing of, registration on, or use of the Platform or Services shall be deemed to constitute your unconditional and legally binding acceptance of these Terms.
    3. Numera reserves the right, at its sole discretion, to amend, modify, add to, or remove any part of these Terms at any time. Any such modification shall be effective immediately upon being posted on the Platform. Your continued access to or use of the Platform or Services following such modification shall constitute your acceptance of the revised.
  3. Nature of Numera’s services
    1. Numera is a SEBI-regulated investment advisory platform that provides technology-enabled portfolio analytics and investment advisory services through algorithmic, quantitative, and model-driven systems, in accordance with applicable laws and regulations.
    2. Numera does not, at any time:
      • Execute trades or transactions
      • Place buy or sell orders on behalf of users
      • Act as a stockbroker, sub-broker, custodian, portfolio manager, distributor, or fund manager
      • Hold, handle, or control User funds, securities, or financial assets
      • Guarantees any returns, profits, performance, or outcomes.
    3. Numera and its group entities do not provide distribution services to advisory clients in accordance with the SEBI (Investment Advisers) Regulations, 2013. Numera does not receive any commission, brokerage, or distribution-related compensation from product manufacturers, intermediaries, or issuers in respect of advisory clients.
    4. Certain features of the Platform, including Refiner and Enhancer, constitute investment advisory services and generate advisory outputs relating to securities based on disclosed methodologies, assumptions, algorithms, and User-provided inputs.
    5. All advisory outputs provided through the Platform are for informational and advisory purposes only. The final investment decision, trade execution, and implementation shall remain solely and entirely with the User. All investments are subject to market risks, and past performance is not indicative of future results.
    6. Access to investment advisory features, including Refiner and Enhancer, is subject to completion of risk profiling and suitability assessment in accordance with SEBI (Investment Advisers) Regulations, 2013. Advisory services shall be provided only after such assessment is completed and documented.
  4. Registration & Account Responsibility
    1. By registering on the Platform, you represent, warrant, and undertake that all information, data, and documents provided by you are true, accurate, complete, current, and lawful, and that you are legally competent to enter into binding contracts under applicable law.
    2. You shall be solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any authentication information. You agree that all activities carried out through your account shall be deemed to have been performed by you, whether or not expressly authorized by you.
    3. Numera reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Platform or Services in the event of any misuse, misrepresentation, breach of these Terms, violation of applicable laws or regulations, or where continued access poses a regulatory, operational, or legal risk to Numera or its Users.
    4. You agree to immediately notify Numera of any unauthorized use of your account or any other breach of security. Numera shall not be liable for any loss or damage arising from your failure to comply with this obligation.
  5. License & use restrictions
    1. Subject to your continued compliance with these Terms, Numera hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and Services solely for your personal use or internal business purposes, and strictly in accordance with these Terms and applicable law.
    2. You shall not, directly or indirectly
      • Reverse engineer, decompile, disassemble, derive source code from, or otherwise attempt to extract or reconstruct the underlying software, algorithms, system architecture, or source code of the Platform or Services
      • Sell, resell, license, sublicense, lease, assign, distribute, commercially exploit, or otherwise make the Platform or Services available to any third party
      • Proprietary models, methodologies, analytics, reports, or outputs of the Platform for redistribution, publication, or commercial use
      • Use the Platform or Services, in whole or in part, to develop, train, benchmark, or operate any competing product, service, platform, model, or technology.
    3. Any unauthorized use of the Platform or Services may result in immediate suspension or termination of access and may subject the User to civil and criminal liability under applicable intellectual property and information technology laws.
  6. Intellectual Property
    1. All intellectual property rights, including but not limited to copyrights, trademarks, service marks, trade names, patents, trade secrets, database rights, and proprietary rights, in and to the Platform and Services—including all content, algorithms, analytics logic, methodologies, models, data structures, designs, text, graphics, user interfaces, software, documentation, and trademarks—are and shall remain the exclusive property of Numera or its licensors.
    2. Except for the limited license expressly granted under Clause 5, nothing in these Terms shall be construed as transferring or granting to the User any right, title, or interest in or to any intellectual property of Numera or its licensors.
    3. Any unauthorized access, use, reproduction, modification, distribution, or exploitation of the Platform, Services, or any intellectual property therein may result in immediate suspension or termination of access and may subject the User to civil and criminal liability under applicable intellectual property, information technology, and other applicable laws.
    4. The User acknowledges that the Platform and Services contain confidential information and trade secrets of Numera, and agrees not to disclose or misuse such information during or after the term of use.
  7. Investment Advisory Features – Refiner & Enhancer
    1. The advisory outputs generated through Refiner and Enhancer are produced using algorithmic, quantitative, and model-driven systems based on disclosed methodologies, assumptions, and User-provided inputs, and do not constitute any assurance or guarantee of returns, performance, or outcomes.
    2. Advisory outputs are dynamic in nature and may change from time to time due to market movements, changes in underlying data, updates in assumptions, system enhancements, or recalibration of models.
    3. Subject to applicable regulations, Refiner and Enhancer may, inter alia:
      • Recommend changes in asset or security allocation
      • Recommend replacement, rebalancing, or realignment of securities within a portfolio
      • Include or exclude securities based on liquidity parameters, rankings, eligibility criteria, risk metrics, or system-defined constraints.
    4. All advisory outputs are provided in accordance with the User’s assessed risk profile, investment objectives, and suitability requirements, as mandated under applicable Investment Adviser regulations issued by the Securities and Exchange Board of India and other applicable laws. The User acknowledges that suitability assessments are based on information provided by the User and are subject to limitations inherent in such information.
    5. The User understands and agrees that Refiner and Enhancer provide advisory recommendations only, and the User retains full discretion and responsibility for accepting, modifying, or rejecting any such recommendations.
  8. Nudges, alerts & system prompts
    1. Any nudges, alerts, notifications, reminders, or system-generated prompts provided through the Platform are informational in nature and are intended solely to assist Users in monitoring portfolios, market developments, or advisory outputs. Such nudges and alerts are non-mandatory and non-binding.
    2. Nudges, alerts, and system prompts do not constitute trade execution instructions, investment directions, solicitations, or guarantees of returns, performance, or outcomes, and shall not be construed as an instruction to buy, sell, hold, or execute any security or transaction.
    3. Users retain full, sole, and independent responsibility for all decisions taken or not taken based on any nudges, alerts, or system prompts, and Numera shall not be liable for any consequences, losses, or damages arising therefrom.
    4. Users acknowledge that nudges and alerts may be generated automatically based on system parameters, data feeds, or algorithms and may be delayed, incomplete, or unavailable due to technical or market-related factors.
  9. Data Sources & Accuracy
    1. Numera may rely on proprietary internal models, publicly available information, and data obtained from third-party sources while providing the Services.
    2. While reasonable care is taken, Numera does not warrant or guarantee the accuracy, completeness, timeliness, or real-time correctness of any data, information, or advisory outputs made available through the Platform.
    3. The Platform and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.
  10. Third Party Integrations
    1. The Platform may integrate with, link to, or depend upon third-party websites, applications, data providers, or services.
    2. Numera does not control, endorse, or assume responsibility for any third-party content, systems, availability, accuracy, or failures, and shall not be liable for any loss or damage arising from reliance on such third-party integrations.
  11. User Conduct
    1. Users shall not, directly or indirectly:
      • Scrape, harvest, mine, or extract data from the Platform
      • Bypass, disable, or interfere with security-related features
      • Upload, transmit, or introduce viruses, malware, or malicious code
      • Misrepresent identity, intent, or affiliation
      • Violate any applicable laws, regulations, or regulatory guidelines.
    2. Any violation may result in suspension, termination, and / or legal action
  12. Payments, Subscriptions & Pricing
    1. All fees and prices are stated in Indian Rupees (INR), unless expressly specified otherwise.
    2. Applicable taxes, including GST or other statutory levies, shall be charged in accordance with prevailing laws.
    3. Numera reserves the right to revise pricing, subscription plans, or features at its discretion.
    4. Subscription plans may renew automatically unless cancelled prior to the renewal date.
    5. Failure or reversal of payments may result in suspension or restriction of Services.
    6. Where the Services constitute investment advisory services under applicable SEBI regulations, fees shall be charged in accordance with regulatory caps prescribed under the SEBI (Investment Advisers) Regulations, 2013, including limits applicable to Assets under Advice (AUA) mode and Fixed Fee mode, as amended from time to time.
  13. Fees Trials & cancellations
    1. Free trials, if offered, are time-bound and subject to eligibility criteria determined by Numera.
    2. Free trials may provide limited access and may not include all advisory features.
    3. Cancellations shall take effect at the end of the then-current billing cycle, unless otherwise stated.
  14. Refund Policy
    1. Where Services constitute investment advisory services under applicable SEBI regulations, fees may be collected in advance for a period not exceeding the regulatory limits prescribed from time to time.
    2. In the event of premature termination of advisory services, Users shall be entitled to a pro-rata refund of unexpired fees for the remaining subscription period.
    3. Numera may retain a breakage fee not exceeding one-quarter (25%) of the annual advisory fee, subject to applicable regulatory limits.
    4. Refunds shall not apply to purely technology-only services unless mandated by applicable law.
  15. COUPONS, PROMOTIONAL OFFERS & DISCOUNTS
    1. Numera may, at its discretion, offer coupons, promotional codes, or discounts subject to specific terms and conditions.
    2. Promotional offers may carry expiry dates, usage limits, or eligibility restrictions.
    3. Coupons and discounts are non-transferable and cannot be redeemed for cash.
    4. Numera reserves the right to withdraw, cancel, or reverse any promotional benefit in cases of misuse, fraud, or violation of applicable terms.
  16. Affiliate & referral programs
    1. Affiliates are independent participants and are not agents of Numera.
    2. Affiliates may not promise returns or misrepresent Services.
    3. Numera may withhold or reverse affiliate benefits in cases of misuse or non-compliance.
  17. Service, Modifications & downtime

    Numera may modify, suspend, or discontinue Services or perform maintenance without notice and shall not be liable for service interruptions.

    2. If the User is not satisfied with the resolution, the User may lodge a complaint on SEBI’s SCORES platform at https://scores.sebi.gov.in
    3. Users may also access the Online Dispute Resolution (ODR) platform as notified by SEBI from time to time.
  19. Limitation & Liability

    To the maximum extent permitted by law

    1. Numera shall not be liable for indirect or consequential losses
    2. Numera is not responsible for decisions taken based on advisory outputs
    3. Total liability shall not exceed fees paid in the preceding twelve (12) months.
  20. Indemnification

    You agree to indemnify Numera against claims arising from misuse of the Platform, violation of these Terms, or legal non-compliance.

  21. Force Majeure

    Numera shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, riots, governmental actions, regulatory changes, stock exchange disruptions, failure of data providers, internet outages, cyber incidents not attributable to gross negligence, or other force majeure events.

  22. Suspension & Termination

    Numera may suspend or terminate access for breach, fraud, or regulatory/legal risk. Upon termination, all rights revert to Numera.

  23. SEVERABILITY & ENTIRE AGREEMENT

    If any provision is held invalid, the remaining provisions shall remain enforceable. These Terms constitute the entire agreement governing Platform usage.
